Welcome to Leads by Design, a brand under Digheld B.V. ("Company," "we," "our," "us"). Digheld B.V. is a legally registered business entity based in the Netherlands. These Terms and Conditions govern your use of our website and services. By accessing or using our services, you agree to abide by these terms. If you do not agree with any part of these terms, please do not use our services.


Legal Jurisdiction: These Terms and Conditions are governed by Dutch law. In the event of any disputes, Dutch law shall be the leading authority, and any legal proceedings shall take place in the appropriate Dutch courts.

Agreement to Terms

By accepting our proposal, invoice, or making any payment, you agree to be bound by these Terms and Conditions, which constitute the entire agreement between you and Digheld B.V., operating under the brand name Leads by Design. No separate contract is required. These terms define our working relationship, payment structure, scope of services, and any applicable guarantees.

Services Provided
  • We provide web design, development, and consulting services as outlined on our website and in our invoices.

  • The scope of work is strictly limited to what is stated in the invoice or proposal.

  • Any additional work beyond the agreed scope will be billed separately at our standard hourly rate.

  • We do not provide content writing, SEO, marketing, or other services unless explicitly stated in the agreement.

Payment Terms
  • All invoices must be paid in full as per the specified due date.

  • A non-refundable deposit is required before commencing work.

  • Full payment is required before the website goes live.

  • Late payments will result in project delays, service suspension, or additional fees.

  • Failure to pay invoices on time may result in legal action and additional collection fees.

  • No refunds are provided unless explicitly stated in writing.

  • Any disputes regarding payment must be raised in writing within five (5) business days of receiving the invoice.

Client Responsibilities
  • Provide all necessary materials, such as text, images, and other content, in a timely manner.

  • Ensure that all provided materials are owned by you or legally licensed for use.

  • Respond to requests for feedback and approvals promptly to avoid project delays.

  • Maintain communication throughout the project timeline.

  • Ensure proper domain setup before project completion.

Intellectual Property
  • We retain ownership of all source files, design elements, and methodologies unless explicitly transferred.

  • Clients receive a license to use the final website and design solely for their business purposes.

  • Unauthorized reproduction, modification, or resale of our work is strictly prohibited.

  • Any modifications made by the client or a third party after project completion void any guarantees.

Limitation of Liability
  • To the fullest extent permitted by law, Digheld B.V. and its directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, punitive, or exemplary damages, including but not limited to loss of profits, business interruption, loss of data, or any other commercial damages arising from our services.

  • We are not responsible for issues resulting from third-party service providers, including hosting services, payment processors, or applications integrated into your website.

  • We do not guarantee uninterrupted or error-free service and are not responsible for downtime, security breaches, or data loss.

  • The client assumes full responsibility for the impact of implementing our services, including marketing performance and business outcomes.

  • We are not liable for errors, omissions, or inaccuracies in the content provided by the client.

  • By using our services, you acknowledge that any reliance on our work is at your sole risk, and you agree to indemnify and hold us harmless from any claims arising from the use of your website.

Project Timelines and Delivery
  • Estimated timelines are provided as guidelines and may be affected by project complexity, client responsiveness, and unforeseen circumstances.

  • Delays in client feedback or content submission will result in extended project completion dates.

  • We are not responsible for missed deadlines caused by client inaction.

Revisions and Modifications
  • Our service includes a limited number of revisions as outlined in the proposal or invoice.

  • Additional revisions beyond the included amount will be billed separately at our standard hourly rate.

  • Design modifications after project completion will be treated as new work and will require a separate agreement.

Termination and Cancellation
  • We reserve the right to terminate services if a client breaches any part of this agreement.

  • Clients may terminate services upon written notice, but all work completed must be paid in full.

  • Deposits and payments are non-refundable upon termination.

  • We may refuse to continue working with a client due to abusive behavior, unprofessional conduct, or failure to adhere to these terms.

Warranty and Guarantee
  • We guarantee that the delivered website will function as agreed upon during testing.

  • We do not guarantee specific business results, leads, conversions, or sales outcomes.

  • Any bugs or technical errors reported within 14 days of project completion will be fixed at no additional cost. After this period, maintenance and updates will be charged separately.

  • Any client modifications or third-party involvement post-delivery voids our warranty.

Ongoing Support and Maintenance

To ensure the optimal performance of your website at all times, we provide a mandatory support and maintenance package as part of our service. This plan is designed to keep your website running smoothly, secure, and always up to date with your latest content.

What’s Included?

  • Unlimited Content Updates – Simply send us an email with your content changes, and we will update your website accordingly. Updates are capped at two hours of work per month.

  • Technical Maintenance & Security Updates – Regular monitoring and updates to keep your website performing at its best.

  • Bug Fixes & Performance Enhancements – If issues arise, we will resolve them promptly to maintain functionality.

  • Priority Support with a 48-Hour Response Time (Monday-Friday) – Any inquiries or requests will be acknowledged within 48 hours during business days.

  • Emergency Support on Weekends – Emergency-only support is available on weekends for critical website failures.

Annual Subscription & Cancellation

  • The support and maintenance package is an annual subscription that can only be canceled on a yearly basis.

  • If you wish to cancel, you must provide at least 30 days' notice before your renewal date.

  • Without this service, we cannot guarantee the ongoing stability or security of your website.

Liability for Maintenance & Support

Dispute Resolution
  • Any disputes arising from these terms shall first be attempted to be resolved amicably through direct communication.

  • If unresolved, disputes will be settled through mediation or legal proceedings in the Netherlands.

Governing Law

These terms are governed by Dutch law, and any disputes shall be resolved in the appropriate Dutch courts.

Changes to Terms

We may update these Terms and Conditions at any time. Continued use of our services after changes constitutes acceptance of the revised terms.
